Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Promino, a service operated by Nicolas Gutierrez (Bergamo, Italy) (“Promino”, “we”, “us”, or “our”), including the website at promino.co, the application at studio.promino.co, and the hosting of sites you publish (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

Promino is a website builder that lets you assemble and publish websites from a curated library of professionally designed sections, with AI assistance to help select sections and draft content. We may add, change, or remove features, and we may modify, suspend, or discontinue parts of the Service. We will give reasonable notice of material adverse changes where we can.

You must be at least 16 years old and able to enter into a binding contract to use the Service. You agree to provide accurate account information, to keep your credentials secure, to be responsible for all activity under your account, and to notify us promptly of any unauthorised use.

Paid plans are billed per site, in euros, on a monthly or annual basis through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period until cancelled. Prices are shown at checkout and may be exclusive of applicable taxes (such as VAT), which will be added where required. We may change prices for future billing periods and will give you reasonable advance notice of any increase.

You can cancel your subscription at any time from your account. When you cancel, your plan remains active until the end of the period you have already paid for, and it will not renew after that. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods. One-time add-on purchases are non-refundable once provisioned.

We may offer optional add-ons, such as additional bandwidth or storage and extended form-submission retention. Add-ons are subject to these Terms and to any specific limits or pricing described at the time of purchase.

You are responsible for everything you publish with Promino, and you agree not to use the Service to create, publish, host, or distribute content that:

• is unlawful, or that promotes or facilitates illegal activity, goods, or services;
• is sexually explicit or pornographic, or that in any way sexualises, exploits, or endangers minors - we have zero tolerance for child sexual abuse material and will remove it and report it to the relevant authorities;
• is hateful, harassing, or threatening, or that incites violence or discrimination against people or groups;
• depicts or glorifies gratuitous violence, terrorism, or self-harm;
• infringes the intellectual property, privacy, or other rights of others;
• is deceptive, fraudulent, or designed to scam or mislead, including phishing; or
• contains malware or is used to disrupt, probe, or gain unauthorised access to any system.

You also agree not to send spam or unsolicited bulk communications, and not to resell or provide the Service to third parties except as expressly permitted. You are responsible for ensuring your published sites comply with all applicable laws, including providing your own privacy and cookie notices where required. We may remove content, or suspend or terminate accounts, that breach these rules.

You retain ownership of the content you create and publish with Promino. You grant us the limited licence needed to host, store, process, display, and serve your content for the purpose of providing the Service. You are responsible for having the rights to all content you upload and publish, and you represent that your content and its use do not infringe the rights of others or violate any law.

The Service, including the section library, templates, software, design, and branding, is owned by Promino and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights in the Service except the limited right to use it as described here. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

Features that generate or suggest content using AI are provided to assist you. AI output may be inaccurate or unsuitable, and you are responsible for reviewing, editing, and approving any content before you publish it. We make no warranty that AI-generated content is original, accurate, or fit for your purpose.

If you connect a custom domain, you are responsible for owning or controlling that domain and for maintaining its registration. Domain routing and certificates are provided through our infrastructure providers, and availability depends in part on those third parties and on correct configuration on your side.

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time for maintenance, updates, or reasons beyond our control. Unless separately agreed in writing, the Service is provided without a specific uptime commitment.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Where reasonable and lawful, we will give you notice. On termination, your right to use the Service ends; we may delete your content after a reasonable period, subject to any legal retention obligations.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that it will be secure, uninterrupted, or error-free.

To the maximum extent permitted by law, Promino will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold Promino harmless from claims, damages, and expenses (including reasonable legal fees) arising out of the content you publish, your use of the Service, or your breach of these Terms or of applicable law.

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date and provide reasonable notice. By continuing to use the Service after changes take effect, you accept the revised Terms.

These Terms are governed by the laws of Italy, without regard to conflict-of-laws rules, and the courts of Bergamo, Italy will have jurisdiction, except where mandatory consumer-protection law gives you the right to bring proceedings in your own country.
